2. Acceptance and Eligibility
You may use Clasivo only if you are at least eighteen (18) years old and legally capable of entering into a binding agreement. Every User states their own date of birth before using the Platform, and access is refused to anyone under eighteen. Clasivo is not currently offered to minors (see Section 30).
If you use Clasivo on behalf of a school, academy, company, educational institution, or other organization, you represent and warrant that you have authority to accept these Terms on behalf of that organization, and that organization is bound by them.
Customers are responsible for ensuring that their Users are authorized to access the Platform and that their use of Clasivo complies with applicable laws, regulations, institutional policies, and contractual obligations.
Acceptance of these Terms is given electronically (by creating an Account, by accepting them on the Platform's acceptance screen, or at checkout). We record the version accepted, the date and time, and technical information about the acceptance. You agree that this electronic acceptance is valid and binding to the same extent as a handwritten signature, in accordance with the Código de Comercio and the Código Civil Federal.
3. Accounts and Account Security
You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your Account. You must promptly notify us at contact@clasivo.online if you believe your Account has been compromised.
Customers and Users must not: share credentials with unauthorized individuals; impersonate another person; attempt to obtain unauthorized access to another Account; circumvent authentication or access controls; interfere with Platform operations; or permit unauthorized individuals to access classrooms or other restricted functionality.
We are not responsible for unauthorized access resulting from a Customer's or User's failure to maintain appropriate account security.
4. Classrooms and Customer Responsibility
Customers may create virtual classrooms, courses, groups, lessons, assessments, and other educational environments through Clasivo. The Customer is responsible for the content, activities, communications, materials, instructions, assessments, participants, and other information placed into a classroom.
Clasivo provides technology for creating and operating these environments but does not control the educational decisions made by Customers.
Customers are responsible for: determining who may participate in a classroom; ensuring participants are appropriately authorized; obtaining permissions or consents required for their Users, including the notices and consents required for class recordings; ensuring uploaded content is lawful; ensuring educational materials do not infringe third-party rights; supervising classroom activities; appropriately handling student information; complying with applicable education, privacy, copyright, child-protection, and other laws; and maintaining appropriate procedures for classroom operations if Clasivo becomes temporarily unavailable.
We are not responsible for the conduct of teachers, students, administrators, or other classroom participants.
5. Roles Under Data Protection Law
For the personal data of its Users and of the people its Customer Content concerns (for example, students' attendance, grades, submitted work, imported historical records, and class recordings), the Customer is the data controller ("responsable") under the LFPDPPP: it decides why and how that data is used. Clasivo processes that data on the Customer's behalf and on its instructions, as its processor ("encargado"), to provide the Service.
The Customer is responsible for having a lawful basis for that data, for giving its Users and the people concerned the privacy notice the law requires, for obtaining any consent required, and for answering requests to access, rectify, cancel, or oppose processing (ARCO rights) concerning that data. We will reasonably assist the Customer with such requests. Our own Privacy Notice governs the data we process as controller, such as account, billing, and technical data.
Security incidents: if we become aware of a security incident affecting personal data we process for a Customer, we will inform the Customer without undue delay, describing what happened, the data that may be affected, and the measures we have taken, and we will take reasonable steps to contain it. As controller, the Customer decides on and gives any notice its Users and the people concerned require; we will reasonably assist, and where the law requires us to notify affected people directly, we will do so.
6. School Records When a User Leaves
Attendance, grades, assessments, submitted work, and other records a User generates in a Customer's courses form part of that Customer's school records. When a User leaves a course or a school, or is removed from one, those records remain with the Customer so its records and reports stay complete; the User loses access to the Customer's classes and materials, but keeps access to notes and other content they created for themselves, as described on the Platform.
Graded work is protected against accidental change: altering it may require confirmation, and changes are made on a copy so the original record is kept.
7. Customer Content and Ownership
Customers retain ownership of their Customer Content. Nothing in these Terms transfers ownership of a Customer's original curriculum, lesson content, educational materials, questions, exercises, assessments, or other Customer Content to us.
Customers grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, modify as technically necessary, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, and secure the Service; provide technical support; operate classrooms; process requested functionality; create backups; troubleshoot technical problems; detect abuse or security issues; and improve the Platform as permitted by these Terms and our Privacy Notice.
Customers represent and warrant that they possess all rights, licenses, permissions, and consents necessary to provide Customer Content to us.
8. Curricula, JSON, and Structured Content
Customers retain ownership of the underlying educational content contained within their curricula, including lesson text, educational objectives, exercises, questions, answers, activities, assessments, explanations, vocabulary, instructional material, curriculum organization, and other original educational content supplied by the Customer.
However, the following remain our exclusive property: Clasivo lesson schemas, JSON schemas, block definitions, component definitions, reusable blocks, rendering systems, lesson engines, software components, APIs, database architecture, data models, validation systems, processing systems, algorithms, interfaces, source code, object code, application architecture, technical workflows, proprietary methodologies, infrastructure, documentation, and other Clasivo Technology.
The representation of Customer Content in JSON, database records, API responses, or another structured format does not transfer ownership of the underlying Clasivo Technology.
9. Customer License to Clasivo
By using the Platform, the Customer grants us the rights reasonably necessary to operate the Service, including permission to store, transmit, process, render, and convert Customer Content between technical formats; generate temporary technical copies; create backups; perform security checks; troubleshoot problems; provide support; monitor performance; and improve our technology and services as permitted by these Terms and our Privacy Notice.
We will not represent Customer Content as having been authored by us. We will not claim ownership of a Customer's original curriculum merely because it is stored or processed through Clasivo.
10. Platform Technology and Intellectual Property
We retain all rights, title, and interest in the Clasivo Technology. Except for the limited rights expressly granted in these Terms, no rights are transferred to the Customer.
Trademark notice: "Clasivo" is used as a trade name and product brand. Registration of "Clasivo" as a formal trademark with the Mexican Institute of Industrial Property (IMPI) is pending/in progress. We claim common-law rights arising from use of the name in connection with our services, to the extent recognized under applicable law.
Nothing in these Terms grants the Customer a license to reproduce, distribute, sublicense, sell, or lease Clasivo Technology; copy the Platform; create a competing implementation using our proprietary technology; reverse engineer Clasivo except where prohibited by applicable law; or create derivative works of Clasivo Technology.
11. Feedback
If you provide suggestions, ideas, recommendations, bug reports, feature requests, or other feedback concerning Clasivo, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use such feedback without compensation or attribution. Feedback does not constitute Customer Content.
12. Product Improvement and Usage Data
We may collect and analyze Usage Data to improve functionality, develop new features, improve reliability, identify errors, measure performance, understand feature usage, detect abuse and security threats, and improve our products and services generally.
We may use aggregated, statistical, and/or de-identified information derived from Platform usage for product development, research, analytics, and other legitimate business purposes. Where reasonably possible, such information will be minimized, aggregated, or de-identified to reduce identification of individual Users.
Nothing in this section transfers ownership of Customer Content to us.
13. Access to User and Classroom Information
We may access Customer Content or User information where reasonably necessary to provide technical support, investigate reported problems, diagnose bugs, investigate security incidents, prevent abuse or fraud, investigate violations of these Terms, maintain the Platform, comply with legal obligations, or improve the Platform where permitted by these Terms and applicable law.
Access will be limited according to reasonable operational and security requirements. We do not provide unrestricted access to Customer accounts or classroom information.
14. Artificial Intelligence
Clasivo may provide artificial-intelligence or automated functionality, including lesson generation, content suggestions, assessment generation, recommendations, summarization, classification, analytics, and automated feedback.
When an AI feature is requested, relevant Customer Content or User information may be processed as necessary to provide that functionality.
Model training disclosure: Customer Content is not used to train or fine-tune underlying third-party AI models beyond what is strictly necessary to generate the specific output requested by the User in that session. Customer Content is not sold, licensed, or otherwise provided to third parties for their own AI training purposes.
AI-generated content may contain inaccuracies, omissions, bias, inappropriate material, factual errors, or other unintended results. Customers and educators are responsible for reviewing AI-generated material before relying on it for instruction, grading, assessment, or other consequential educational purposes. We do not guarantee the accuracy or appropriateness of AI-generated content.
15. User-Generated and Classroom Content
We do not create, endorse, approve, or guarantee the accuracy, legality, appropriateness, quality, or suitability of User-generated content. The person or organization that creates, uploads, transmits, or publishes such content is responsible for it. We are not responsible for content created or provided by Users merely because that content is accessible through the Platform.
16. Inappropriate, Offensive, or Harmful Content
User-generated or classroom content may contain material that is inaccurate, offensive, controversial, culturally insensitive, sexually explicit, discriminatory, defamatory, misleading, disturbing, harmful, unlawful, or otherwise objectionable. We do not endorse or assume responsibility for such content solely because it is transmitted, stored, displayed, or accessible through the Platform.
Customers are responsible for supervising their classrooms and determining whether content is appropriate for their students, Users, educational objectives, and applicable institutional policies.
17. Educational Content Disclaimer
We do not guarantee that educational content available through the Platform is factually accurate, current, complete, pedagogically appropriate, suitable for a particular age group or learning level, legally compliant, or free from bias or errors. Customers and educators are responsible for reviewing educational materials before using them in instruction.
18. Classroom Communications
We may provide tools allowing Users to communicate through classrooms, including text, audio, video, chat, whiteboards, shared materials, and files.
Customers and Users are responsible for their communications and materials. We do not routinely monitor classroom communications for educational content. However, we may access or process classroom information when reasonably necessary to provide technical support, investigate security incidents or abuse, comply with legal obligations, enforce these Terms, or maintain and improve the Platform.
19. Class Recordings
The Platform may allow a Customer's teachers and administrators to record live classes. A recording is made from the browser of the person who starts it and may capture the class as it appears on their screen, including participants' video, voices, names, shared screens, slides, whiteboards, and chat. Everyone in the class is shown that the class is being recorded while it is, and anyone joining during a recording is told before their camera and microphone connect.
Recording is the Customer's decision and responsibility. Before recording, the Customer is responsible for having a lawful basis to do so; for informing participants, in its own privacy notice, of the recording and its purposes, who can watch it, and how long it is kept; for obtaining any consent required by law or institutional policy; and for offering reasonable alternatives to participants who object, where the law requires it. Participants who do not wish to be recorded may turn off their camera and microphone or leave the class.
Recordings are Customer Content. They are stored in the Customer's own Google Drive, in a folder that Clasivo creates and does not share by link, and they are watched through the Platform by the class's teachers and administrators and by students of the course. While a recording is being processed, or while the Customer has no connected Google Drive, it is kept on our servers. Removing a recording from a class in Clasivo does not delete the file from the Customer's Drive; the Customer controls and is responsible for its retention and deletion there.
Users must not: record a class, or other participants, by any other means without the consent required by law; download, copy, share, or publish a recording outside the course without the consent of the people in it and the Customer's authorization; use a recording to identify people by biometric means; or record minors.
Recordings depend on the recording person's browser, device, and connection. We do not guarantee that a recording will be made, complete, or of any particular quality, and we are not responsible for a recording that is lost, incomplete, or interrupted, or for the content of any recording.
20. Attendance Records, Drop-in Classes and Reservations
The Platform measures attendance in live classes automatically from participants' connections. Measurement can be affected by devices, browsers, networks, and other factors outside our control, and is provided as an aid to the Customer's own records.
A Customer's administrators may set a student's attendance by hand, for example when a class did not record it. Every mark set by hand is permanently identified as such in the Platform, together with who set it, when, the reason given, and what it showed before. The Customer is solely responsible for the accuracy and lawfulness of marks it sets or changes; using these tools to falsify records is prohibited.
When setting a mark by hand, an administrator may report that the Platform failed. We review such reports against our system records. A report is not an admission that the Platform failed and does not by itself entitle the Customer to any credit, refund, or compensation, except where required by law. Our system records are the reference record of what the Platform measured.
The Platform may let a Customer offer drop-in classes, which its students choose to attend, and may let students reserve a seat in them. The Customer decides which classes it offers and when, how many seats each has, whether students must reserve, whether students without a seat may join, until when a seat can be given up, and its own policies on missed, late, cancelled or unused classes and seats, and on what its students pay. In a drop-in course, the Platform records a student's attendance only for the classes the student joins or reserves.
Clasivo provides these tools only. We do not guarantee that a class takes place or has a teacher, that a seat is available, or that a student can reserve or join a class, including when a class or its live call is full or a student's device or connection fails. Clasivo is not responsible for classes a student misses, joins late or leaves early, for reservations made, given up or not used, or for any fee, credit, refund or other arrangement between the Customer and its students about them; these are between the Customer and its students.
Each live class admits a limited number of participants at a time. When a class is full, others may be unable to join until someone leaves. Reservation counts, attendance and reports are provided as aids to the Customer's own records, as described above.
21. Historical Imports and Manual Entries
A Customer may bring its past records into the Platform by uploading files (such as spreadsheets) or by typing them in, including attendance, curricula, lesson plans, homework, and grades. The Platform proposes how to read each file, and the Customer reviews and confirms every reading before anything is written. Proposals are suggestions only; the Customer is responsible for confirming them and for the result.
The Customer represents and warrants that it has the right to use the records it imports or enters, that the people they concern were informed as the law requires, that the records are accurate, and that they contain no data of minors (see Section 30). Imported and manually entered records are identified as such in the Platform and are never presented as having been measured by Clasivo. The Customer can undo an import, which removes what it added.
To read column names written in other languages, short labels from an uploaded file (not its rows of personal data) may be sent to a translation or AI provider.
The Platform may let the Customer copy a set of its records, with instructions, to paste into an artificial-intelligence service of its choosing, and paste the answer back to update them after reviewing every change. When the Customer does so, it is the Customer, not Clasivo, that transfers that data to the third-party service. The Customer is solely responsible for that transfer, for complying with that service's terms and with data protection law, and for the changes it applies. The copied data contains no internal database identifiers but does contain names and email addresses.
22. Prohibited Use
Users may not use Clasivo to violate applicable law; infringe intellectual-property rights; distribute malware; attack Platform infrastructure; attempt unauthorized access; circumvent access controls; reverse engineer Clasivo except where prohibited by applicable law; scrape or systematically extract Platform data; copy Clasivo's proprietary technical architecture; upload unlawful content; distribute content designed to harm or exploit minors; engage in harassment, threats, or abuse; conduct fraudulent activities; impersonate another person; intentionally disrupt classrooms or Platform operations; or use the Platform in a manner creating unreasonable security, legal, or operational risks.
23. Assumption of Risk
Use of Clasivo involves inherent risks associated with internet-based software, online communications, virtual classrooms, and third-party infrastructure, including service interruptions, connectivity failures, latency, audio/video failures, classroom disconnections, software errors, delayed communications, third-party service interruptions, device failures, browser compatibility problems, and other risks inherent in internet-based services.
Clasivo is a technology platform and uninterrupted availability cannot be guaranteed. Customers should maintain appropriate independent copies of important educational materials.
24. Service Interruptions and Technical Failures
Except for the outage extension described in this Section, we are not responsible for losses, damages, costs, claims, or other consequences arising from unavailability, interruption, degradation, or failure of the Platform caused by circumstances beyond our reasonable control, including internet or telecommunications failures, hosting-provider failures, cybersecurity incidents, software defects, hardware failures, power outages, maintenance, third-party API failures, browser incompatibilities, natural disasters, or other force majeure events.
We do not guarantee that the Service will be available at any particular time or that every feature will remain available indefinitely.
Planned maintenance: when we plan maintenance that will interrupt live classes, we will announce it inside the Platform at least twenty-four (24) hours in advance and, where reasonably possible, schedule it outside common class hours. Urgent work needed to fix a security problem, prevent data loss, or restore the Service may be carried out without notice.
Outage extension: if live classes on the Platform are unavailable to a Customer for four (4) or more consecutive hours because of a failure of the Platform or of the infrastructure we operate it on (including our hosting providers), or because of a security incident affecting our systems, we will extend the Customer's current paid plan by one (1) day for each calendar day on which that outage occurred. The Customer must request the extension at contact@clasivo.online within thirty (30) days of the outage. The extension is given as additional service time, not as a cash refund. It does not apply to interruptions caused by the Customer's or Users' devices, networks, or internet providers; by Google or other Third-Party Services the Customer connects; by maintenance announced as described above; or by a suspension under these Terms. This does not limit any right the Customer has under Mexican consumer protection law that cannot be waived.
25. No Guarantee of Continuous Service
Clasivo is not an emergency service, mission-critical communications system, or guaranteed-availability infrastructure. The Platform should not be relied upon as the sole means of communicating emergency information, storing irreplaceable information, or maintaining legally required records. Customers are responsible for maintaining appropriate alternative procedures where continuity of their educational operations requires them.
26. Third-Party Services
Clasivo may depend upon or integrate with Third-Party Services, including cloud hosting, video infrastructure, payment processors (Stripe and Openpay), email providers, storage services, analytics providers, and AI providers.
We are not responsible for outages, failures, security incidents, or policy changes caused by Third-Party Services to the extent permitted by applicable law. Use of Third-Party Services may be subject to their own terms and privacy policies.
27. Google Integrations
Clasivo offers optional integrations with Google, namely Sign in with Google and Google Drive. Neither is required in order to use the Platform.
A Customer or User who connects a Google Account authorizes Clasivo to access that account only to the extent described in the Clasivo Privacy Notice, Section 9 (Google User Data), and only for the features they enabled: authenticating sign-in, listing and organizing class materials, creating and sharing classroom folders, playing media within a lesson, keeping copies of students' submitted homework in the school's Drive, and storing class recordings in the school's Drive.
Clasivo's use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
The Customer remains responsible for the content it stores in its own Google Drive, for the sharing settings it chooses, and for ensuring it holds the rights necessary to make that content available to its Users. Clasivo does not keep the contents of Google Drive files; it stores the tokens and file metadata described in the Privacy Notice, and holds file contents on its servers only temporarily while copying them into the school's Drive or, for a class recording, until it has been sent there.
A connected Google Account may be disconnected at any time from within Clasivo, or revoked directly by the account holder at https://myaccount.google.com/permissions. Disconnection revokes the token with Google and deletes the stored tokens and file metadata. Class materials that depended on that connection will stop being reachable through the Platform.
Use of Google services remains subject to Google's own terms and policies, and Section 26 applies to Google as a Third-Party Service.
28. External Content and Links
Clasivo may permit Users to embed, link to, or access third-party content. We do not control and do not guarantee the availability, accuracy, legality, or appropriateness of third-party content. A link or integration made available through Clasivo does not constitute an endorsement by us. Users access third-party resources at their own risk.
29. Educational and Professional Disclaimer
Clasivo is a technology provider and does not act as an educational institution, teacher, school administrator, counselor, medical professional, legal professional, financial advisor, parent, or guardian. Clasivo should not be relied upon as the sole basis for medical, psychological, legal, financial, safety-critical, disciplinary, employment, or other consequential decisions.
30. Minors
Clasivo is not currently available to anyone under eighteen (18) years of age. Users state their own date of birth, and the Platform refuses access to anyone under eighteen. A school or other Customer cannot confirm a User's age or a guardian's consent on that User's behalf.
Customers must not enroll, invite, import, record, or otherwise bring minors or their personal data into the Platform, including through historical imports, manual entries, or class recordings. If we learn that a minor's personal data has been placed on the Platform, we may block the related Account and delete or block that data.
Where a minor's personal data was placed on the Platform before this restriction, with guardian consent obtained by the Customer, the Customer remains solely responsible for that consent and for complying with the laws concerning minors and educational records, including the LFPDPPP. A Customer that brings a minor onto the Platform in breach of this Section does so at its own risk and responsibility (see Section 51).
31. Fees, Subscriptions, and Automatic Renewal
Where applicable, use of Clasivo requires payment of subscription or usage fees. Prices, billing periods, usage limits, and included features are presented before purchase. Prices are stated in Mexican pesos and include Value Added Tax (IVA) unless stated otherwise.
Monthly subscriptions renew automatically at the end of each billing period, at the price then in effect, until cancelled. By subscribing, the Customer authorizes us and our payment processors to charge the payment method on file for each renewal, in the amount and at the frequency shown at checkout. The Customer may cancel at any time from the Platform; cancellation takes effect at the end of the period already paid, and access continues until then.
Yearly plans are prepaid: paid in full, in advance, for twelve months at a reduced rate, by card through Stripe. They do not renew automatically; we send reminders before the year ends, and if it is not renewed the Account becomes read-only until a plan is chosen. A yearly plan may be paid in 3 or 6 interest-free monthly instalments (meses sin intereses) where the Customer's Mexican consumer credit card and its issuing bank offer them: the total is the same as a single payment, the bank collects the instalments, and availability is decided by Stripe and the bank, not by us. A yearly plan is a commitment to twelve months. It may be renewed early, in which case the new year starts when the current one ends. Switching between monthly and yearly billing, to the same plan or to a higher or lower one, starts the new billing and the new plan immediately: switching a yearly plan to monthly billing ends the year at once, and the months left in it are given up and are not refunded or credited; switching monthly billing to a yearly plan ends the monthly subscription at once, and what is left of the month already paid is given up and is not refunded or credited. Monthly billing is charged at the regular monthly price, without the yearly discount. The Platform shows what will be given up, with its date, before the switch, and the Customer confirms it. Months of a yearly plan already paid are not refunded, except where required by applicable law.
Where a free trial is offered, it applies to monthly billing only, and the trial converts into a paid subscription at its end unless cancelled before the trial ends. A free trial does not require a payment method; one must be added before the trial ends for the subscription to continue. Adding a card only saves it; the plan is paid with it in a separate step, in which the Customer expressly authorizes the recurring charge. If the plan has not been paid when the trial ends, the account becomes read-only, with nothing deleted, until it is, at which point the same subscription resumes on its original terms. We email the Customer a few days before a free trial ends, stating the date and amount of the first charge. Promotions, discounts, and special codes apply only on the terms and for the period stated when they are offered, may be limited to one use, and may be withdrawn at any time for future purchases. A promotion is not a commitment to a future price.
Limited offers and lasting discounts: some offers, such as the founding price, are limited to a number of accounts and to a period, both stated when the offer is made; once either runs out, the offer ends for new purchases. A discount that lasts while the Customer stays subscribed (including the founding price and codes described as lasting "for life" or "forever") applies only to the plan with which it was obtained, and only while that subscription continues: adding or removing extra live rooms or Hire teachers on the same plan keeps it, but changing to a different plan, higher or lower, ends the discount, and the new plan is charged at its regular price. The one exception is moving to a higher plan during a free trial: the trial ends and the new plan is paid at once, and a founding price or lasting code the trial had carries over to the new plan, without taking another of the offer's places, as long as that offer is still open (within its dates); after it ends, the new plan is charged at its regular price. Cancelling the subscription also ends the discount once the subscription ends: the Customer loses the founding price or lasting code, which cannot be obtained again by subscribing again. Undoing a cancellation before the paid period ends keeps the same subscription, and its discount, running. An ended discount cannot be restored, including by returning to the original plan or by subscribing again. Only one discount applies at a time; discounts are not combined. When a code would save less than an automatic offer that applies to the same purchase, the offer is kept. Unless stated otherwise, discounts apply to the plan price only, not to add-ons.
Add-ons: a plan may be extended with optional add-ons, shown with their price before purchase, such as extra live rooms (one more simultaneous live class each) and, on plans that do not include other teachers, Hire teachers, which lets the Customer add teachers while the school keeps the plan's number of simultaneous live classes. An extra live room also allows adding teachers, so buying one replaces the Hire teachers add-on and its charge. When a plan or add-on that allowed other teachers ends, those teachers keep their link to the school, but their access to it is paused until the plan allows them again; nothing they created is deleted.
Plan changes: moving to a higher plan or adding capacity takes effect immediately when paid by card through Stripe, and the difference for the rest of the current period is charged at once (during a free trial, the trial ends and the new plan's full monthly price is charged at once, starting a new monthly period) (on a yearly plan, as a single payment that may also be split into interest-free instalments, without changing the year's end date); with other payment methods it takes effect at the next billing date. Moving to a lower plan or removing capacity takes effect when the period already paid ends; until then the current plan stays in place, and nothing is refunded or credited. A yearly plan cannot be moved to a lower plan during its year; a lower plan can be chosen when renewing.
We may change prices for future billing periods. We will give at least thirty (30) days' notice before a price change applies to an existing subscription; continuing the subscription after the change takes effect constitutes acceptance of the new price.
Payments are processed by third-party payment processors (currently Stripe and Openpay). We do not receive or store full card numbers. The Customer is responsible for maintaining valid payment information and for any fees charged by its bank or card issuer.
Electronic invoices (CFDI) are issued on request, based on the fiscal information the Customer provides. The Customer is responsible for the accuracy of that information; we are not responsible for an invoice that cannot be issued, or is issued incorrectly, because of inaccurate or late fiscal information. Payments for which no invoice is requested in time may be included in a general public invoice (factura global) as permitted by law.
32. Refund Policy
Subscription fees are non-refundable except where required by applicable Mexican consumer protection law, or where expressly stated otherwise at the time of purchase. If a Customer believes they are entitled to a refund, they should contact contact@clasivo.online describing the circumstances; refund requests will be evaluated on a case-by-case basis. Outage extensions under Section 24 are given as additional service time and do not entitle the Customer to a cash refund.
33. Payment Default, Grace Period, and Disputed Charges
If a renewal payment fails, we will notify the Customer and may retry the charge. After a grace period stated on the Platform, the Account may become read-only: existing information can still be viewed and exported, but new classes, live sessions, and other functionality may be unavailable until payment is made. If payment remains outstanding, we may suspend access to the Customer Account and its Users, suspend storage or other Platform services, or terminate the subscription or Account.
If a Customer disputes a charge with its bank or card issuer (a chargeback) for a service that was provided, we may suspend the Account while the dispute is resolved and may provide the payment processor with records of the subscription, its acceptance, and its use as evidence.
Suspension or termination for non-payment does not eliminate the Customer's obligation to pay amounts already incurred. We may restore access after outstanding amounts have been paid.
34. Repeated or Chronic Payment Default
Where a Customer repeatedly fails to make payments when due, we may classify the Account as being in persistent payment default and may require prepayment, additional payment assurances, or a different billing arrangement before restoring or continuing access.
35. Content Enforcement and User Suspension
We reserve the right, to the maximum extent permitted by applicable law, to investigate, restrict, suspend, disable, or terminate any User Account where we reasonably determine that the User has violated these Terms; uploaded or distributed prohibited or unlawful content; engaged in abusive, threatening, harassing, fraudulent, or otherwise harmful conduct; created a security or operational risk; attempted unauthorized access; infringed third-party intellectual-property rights; used the Platform inconsistently with its intended educational use; or otherwise engaged in conduct we reasonably determine is harmful.
We may take immediate action without prior notice where reasonably necessary to protect Users, the Platform, third parties, or ourselves, including removing content, disabling functionality, suspending or terminating an Account, or restricting classroom access.
Abuse of people is not tolerated. This covers conduct toward other Users and toward Clasivo's staff, including in support conversations and messages: violent, threatening, hateful, discriminatory, derogatory, demeaning, or sexually explicit language; harassment or intimidation; and uploading, sharing, or presenting inappropriate material, such as violent, hateful, pornographic, or otherwise offensive content, in classes, lesson materials, messages, or anywhere else on the Platform. Such conduct is grounds for blocking the Account responsible and ending its subscription, without refund of fees already paid (Section 44). Where it comes from Users of an organization's Account, we may also act against that organization as described in Section 36.
36. School, Academy, and Organization Enforcement
Where an Account is operated by a school, academy, company, or other organization, we may take enforcement action against the organization as well as individual Users associated with it, including suspending the organization's Account, disabling individual User Accounts, or terminating the organization's subscription.
An organization may be held responsible for Users operating under its Account where the organization's conduct, supervision, authorization, or policies contributed to the violation.
37. Immediate Action for Serious Violations
We may immediately suspend or terminate access without prior notice where reasonably necessary in cases involving threats to physical safety; exploitation or abuse of minors; sexual content involving minors; credible threats of violence; severe harassment; malware distribution; attempts to compromise Platform security; fraud; illegal activity; serious intellectual-property violations; or other conduct presenting an immediate or substantial risk. Where appropriate and legally permitted, we may preserve relevant information and cooperate with competent authorities.
38. Suspension
During a suspension, the Customer may be unable to access some or all Platform functionality, Users may be unable to access classrooms, live sessions may be unavailable, and content may be inaccessible. Customers are responsible for maintaining appropriate contingency procedures. Where reasonably possible, we will provide notice before suspension, but may suspend immediately when necessary for security, legal, abuse-prevention, or payment reasons.
39. Termination for Material Breach
We may terminate an Account where the Customer materially breaches these Terms and the breach cannot reasonably be cured, or the Customer fails to cure the breach within a reasonable period after notice. For serious violations involving security, illegal activity, abuse, fraud, or payment default, no cure period may be required.
40. Termination for Convenience
We may discontinue or terminate an Account or particular Platform service where permitted by the applicable subscription agreement and applicable law. Where termination is initiated by us for reasons unrelated to Customer misconduct, we will use commercially reasonable efforts to provide advance notice where practicable.
41. No Circumvention of Enforcement
A User or organization whose Account has been suspended or terminated may not create or use another Account to circumvent the suspension or termination.
42. Effect of Termination
Upon termination, the Customer's right to access and use the Platform ends, associated Users may lose access to classrooms, live sessions may end, and Platform functionality may be disabled. Termination does not transfer ownership of Customer Content to us.
43. Customer Content Following Termination
Following termination, we may retain Customer Content for a limited period (up to 30 days, unless a longer period is required by law) to provide a reasonable opportunity for export, resolve disputes, comply with legal obligations, prevent fraud, maintain backups, or protect our legal rights. After this period, we may permanently delete Customer Content. Customers are responsible for exporting important Customer Content before terminating their Accounts.
44. No Refund Following Enforcement
To the maximum extent permitted by applicable law, subscription fees already paid are not refundable solely because an Account is suspended or terminated as a result of violation of these Terms, prohibited conduct, unlawful activity, abuse, fraud, or payment-related violations. Nothing in this provision limits a refund right that cannot legally be waived under Mexican consumer protection law.
45. Appeals and Account Review
A User or Customer whose Account has been suspended or terminated may contact contact@clasivo.online to request a review of the decision. We may request information reasonably necessary to evaluate the request. Nothing in this section requires us to restore an Account where continued access would create a legal, security, operational, or safety risk.
46. Data Backups
We may maintain backups for operational and disaster-recovery purposes. Customers remain responsible for maintaining independent copies of important Customer Content. Backup systems are not intended as a permanent archival service.
47. Privacy
Our collection and processing of personal data is governed by the Clasivo Privacy Notice, which forms part of these Terms. The Privacy Notice explains what information we collect, why, how it is used and protected, applicable data subject rights, retention, third-party processing, and available privacy requests.
48. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLASIVO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR COMPATIBLE WITH EVERY DEVICE; THAT ALL FEATURES WILL ALWAYS BE AVAILABLE; THAT USER-GENERATED OR AI-GENERATED CONTENT WILL BE ACCURATE; OR THAT THE PLATFORM WILL PRODUCE ANY PARTICULAR EDUCATIONAL OUTCOME.
49. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO SERVICE OUTAGES OR INTERRUPTIONS, LOSS OF ACCESS OR DATA, FAILED OR INTERRUPTED CLASSROOMS, THIRD-PARTY SERVICE FAILURES, USER-GENERATED OR AI-GENERATED CONTENT, CLASS RECORDINGS OR THEIR LOSS, IMPORTED OR MANUALLY ENTERED RECORDS, ATTENDANCE MEASUREMENTS OR MANUAL CHANGES TO THEM, DATA A CUSTOMER TRANSFERS TO THIRD-PARTY SERVICES, CLASSROOM CONDUCT, SECURITY INCIDENTS, LOSS OF BUSINESS OR PROFITS, OR OTHER INDIRECT OR CONSEQUENTIAL LOSSES.
Note on personal liability: As Clasivo is currently operated by an individual (persona física) rather than a registered corporate entity, this limitation of liability is asserted to the fullest extent Mexican law permits, but does not create the same protective effect a corporate liability shield would provide. Robert Allen Melnyk intends to transition operations to a registered corporate entity (S.A.S.) and will update this section accordingly upon completion of that process.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
50. Time Limit for Claims
To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Platform must be brought within one (1) year after the event giving rise to it; otherwise it is permanently barred. This does not shorten any period that cannot legally be shortened, including under Mexican consumer protection law.
51. Customer Indemnification
To the extent permitted by applicable law, the Customer agrees to defend, indemnify, and hold harmless Clasivo and Robert Allen Melnyk from claims, damages, liabilities, costs, and expenses arising from Customer Content; the Customer's violation of these Terms; unauthorized use of the Platform by the Customer; infringement of third-party intellectual-property rights by Customer Content; unlawful classroom activities; conduct of the Customer's Users; class recordings made or used by the Customer or its Users, including without the notice or consent the law requires; records the Customer imports, enters, or changes; data the Customer transfers to third-party services; minors brought onto the Platform in breach of these Terms; the Customer's failure to meet its obligations as data controller; or the Customer's violation of applicable law.
52. Customer Responsibility for Classroom Operations
Customers acknowledge that Clasivo provides infrastructure and software rather than guaranteed educational or classroom operations. Customers should maintain alternative access to critical lesson plans, curriculum materials, student records, attendance information, assessment information, and emergency contact information.
53. Acceptance of Service Risks
BY USING CLASIVO, THE CUSTOMER ACKNOWLEDGES THAT INTERNET-BASED SOFTWARE AND VIRTUAL CLASSROOM TECHNOLOGY INVOLVE TECHNICAL, OPERATIONAL, SECURITY, CONTENT, AND AVAILABILITY RISKS, AND VOLUNTARILY ACCEPTS THESE RISKS.
54. Modifications to the Platform
We may modify, update, replace, suspend, or discontinue Platform features from time to time due to technological development, security requirements, third-party service changes, legal requirements, or business decisions. We do not guarantee that a particular feature will remain available indefinitely.
55. Modifications to These Terms
We may update these Terms from time to time to reflect changes to the Platform, applicable law, security requirements, or business practices. Material changes will be communicated through the Platform, email, or other reasonable means, and the Platform may ask Users to accept the updated Terms before continuing. Continued use of Clasivo following the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
56. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose, where legally permissible.
57. No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
58. Governing Law and Jurisdiction
These Terms shall be governed by the laws of the United Mexican States. To the extent permitted by applicable law, disputes arising from these Terms or the use of Clasivo shall be submitted to the competent courts of the State of Querétaro, Mexico, without prejudice to mandatory rights or jurisdiction that may apply under applicable law.
59. Entire Agreement
These Terms, together with the applicable Privacy Notice and any other agreements expressly incorporated into the Service, constitute the entire agreement between Clasivo/Robert Allen Melnyk and the Customer concerning use of the Platform.
